The Role
Alchemy is looking for Corporate Counsel to lead legal and regulatory matters as the company scales. This individual is expected to help lead commercial agreements (customer sales agreements, vendor agreements, partnership agreements, etc.), IP, data privacy/data compliance, employment law (in partnership with People Ops), and other typical legal items that SaaS businesses face. They will manage our relationships with external counsel and are expected to help build our legal strategy and grow the legal team over time.
Responsibilities:
- Serve as the first legal hire and primary point of contact with outside counsel
- Draft and negotiate agreements with strategic customers, protocols, and partners
- Develop scalable approaches and frameworks for contracts to help our teams to move faster
- Provide creative, practical legal advice to business partners on a wide range of matters on very short timelines: business development, corporate development, venture investments, financing, protocol development, regulatory, payment methods, and employment law
- Partner with cross-functional teams on intellectual property and open-source strategies
- Interface with external parties to represent and develop a regulatory position globally
- General corporate governance, including matters pertaining to regulated and non-regulated domestic and international entity governance
- Be an outstanding collaborator with colleagues in legal, finance, accounting, corporate development, product, operations, compliance, tax, equity, compensation, and other areas.
What We're Looking For:
- 5+ years of legal experience, preferably with in-house experience at a high-growth tech company
- Extensive experience with complex transactions and drafting/negotiating commercial agreements
- Strong track record of cross-functional partnership across teams (BD, Corporate Development, Finance, Product) to align on creative solutions and close deals quickly
- Experience with intellectual property issues, including licensing, open-source, and patent strategies
- Passion for crypto, blockchain technologies, DeFi, DAOs, and/or NFTs
- Juris doctor from accredited law school
- Member of a US state bar in good standing, preferably in California or New York
- Web3 experience, a plus
- Founded a company or built side projects, a plus
- Experience in startups, a plus
